Terms and Conditions
Welcome to DesignDojo. This website is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein. Your use of DesignDojo constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.
Agreement
Agreement between User and DesignDojo, a subsidiary of Dojo Innovations, LLC.
Privacy
Your use of DesignDojo is subject to our Privacy Policy and Cookie Policy. Please review these policies, which govern the Site and inform users of our data collection practices.
Electronic Communications
Visiting DesignDojo or sending emails to us constitutes electronic communications. You consent to receive electronic communications and agree that all agreements, notices, disclosures, and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.
Your Account
If you use this site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password.
Web Design & Digital Services
DesignDojo provides custom website design and development, copywriting, SEO services, brand/content strategy, image sourcing/editing, analytics setup, accessibility best-practices guidance, and related digital services. Availability, timelines, and pricing may change without notice.
- Scope & Deliverables. Your proposal/statement of work (SOW) defines features, pages/sections, integrations, platform/stack, and environments. Items not listed are out of scope and require a change order.
- Approvals & Revisions. Unless specified otherwise, each major phase (brand/UX, UI design, copy, build) includes up to two revision rounds per deliverable. Additional rounds or scope shifts may extend timelines and incur added cost.
- Client Responsibilities. You agree to supply timely content, feedback, brand assets, legal notices, and access/credentials (e.g., DNS, host, analytics, third-party tools). Delays in inputs pause timelines and may trigger rescheduling.
- Content & Copy. When we create copy, you retain responsibility for legal accuracy and claims. You warrant that any client-provided content (text, images, fonts, logos, data) is licensed for intended use and does not infringe third-party rights.
- Images, Fonts & Stock Assets. We can license paid stock or fonts on your behalf; such licenses are between you and the vendor unless otherwise stated. Editorial or model-release restrictions may apply to certain uses.
- Third-Party Platforms. Services may rely on platforms (e.g., Vercel, AWS, HubSpot, GA4, Stripe, Shopify, OpenAI APIs, email/SMS providers). Their pricing, uptime, data handling, and terms are outside our control and may change.
- Open-Source & Background IP. We may use open-source software under respective licenses (e.g., MIT, Apache). Our pre-existing libraries, components, and methodologies (background IP) are not assigned; you receive a non-exclusive license to use them within the delivered project.
- Ownership & IP Transfer. Upon receipt of full payment (including approved change orders), you own the project-specific deliverables expressly identified in the SOW (site code/content produced for you). We retain a perpetual, non-exclusive right to showcase the work in our portfolio and marketing, excluding confidential information.
- Accessibility. We implement WCAG 2.2 AA best-practice techniques within the project scope. Because content, third-party embeds, and future changes can impact accessibility, no legal compliance guarantee or litigation immunity is provided. Ongoing monitoring/remediation is available via maintenance plans.
- SEO. We follow technical and on-page SEO best practices (metadata, headings, performance, indexation guidance). Search rankings depend on external factors; we do not guarantee specific positions or traffic volumes.
- Performance. We optimize within project constraints (Core Web Vitals targets where feasible). Subsequent content/app changes, third-party scripts, or hosting choices may affect performance.
- Hosting, Domains & Email. Unless your SOW includes managed hosting, domains, or email, you are responsible for vendors and fees. We can assist with setup/migrations as a separate service.
- Testing & Acceptance. We test on current versions of major evergreen browsers and responsive breakpoints defined in the SOW. Provide acceptance within 7 calendar days of handoff; absent written issues, deliverables are deemed accepted.
- Warranty. For 30 days after acceptance or launch (whichever comes first), we correct implementation defects in the delivered scope at no charge. New features, third-party failures, or post-launch changes are out of scope.
- Change Orders. Material changes (features, integrations, design direction, content scope) require a written change order with costs and timeline impacts approved before work proceeds.
- Scheduling & Delays. Milestones are estimates and may shift due to client delays, force majeure, vendor outages, or dependency changes. We’ll communicate impacts promptly.
- Payments. A non-refundable deposit may be required to reserve a build window. Invoices are due per SOW (e.g., milestone or monthly). Late payments may incur fees and may suspend work or access until cured.
- Retainers & Maintenance. Ongoing services (support, analytics, backups, updates, monitoring, SEO, accessibility checks) are offered via monthly retainers with their own terms and SLAs.
- Confidentiality. Each party will protect the other’s non-public information and use it only for project purposes, except where disclosure is required by law.
- Termination. Either party may terminate for material breach if not cured within 10 days of written notice. Earned fees, approved expenses, and work completed through the termination date remain payable.
Children Under Thirteen
DesignDojo does not knowingly collect, either online or offline, personal information from persons under the age of thirteen. If you are under 18, you may use our services only with permission of a parent or guardian.
Intellectual Property
All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of DesignDojo or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights.
Third Party Links
DesignDojo has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by us. Use of any such linked website is at the user's own risk.
International Users
The Service is controlled, operated and administered by DesignDojo from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws.
Indemnification
You agree to indemnify, defend and hold harmless DesignDojo, its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses relating to or arising out of your use of or inability to use the Site or services, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations.
Arbitration
In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties, in a location mutually agreed upon by the parties.
Class Action Waiver
Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted.
Liability Disclaimer
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. DesignDojo AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.
Changes to Terms
DesignDojo reserves the right, in its sole discretion, to change the Terms under which our services are offered. The most current version of the Terms will supersede all previous versions. We encourage you to periodically review the Terms to stay informed of our updates.
